Altiro GmbH (former GEHE Gesundheitsdienste GmbH), domiciled in
Stuttgart, applied for an injunction dated November 2, 2007 with the
Regional Court Munich I which it had delivered by advance note today,
holding that Sanacorp Pharmaholding Aktiengesellschaft (former
Sanacorp Pharmahandel Aktiengesellschaft, in the following
"SANACORP") should be prohibited from assigning its investment in
Sanacorp Pharmahandel GmbH to a third company, in particular a
holding domiciled in Italy.

SANACORP has spun off its entire operating business to Sanacorp
Pharmahandel GmbH which was formed on October 31, 2007 by entry of
the spin-off in the commercial register. Within the scope of the
planned business combination with French CERP Rouen SA (see our ad
hoc statements dated January 30, 2007 and June 23, 2007), the
investment of SANACORP in Sanacorp Pharmahandel GmbH is to be
contributed to a joint venture which has already been established
with CERP Rouen SA in Italy.

According to Altiro GmbH, SANACORP must, on the basis of existing
agreements, offer them for purchase half of the block of shares
totaling some 24.99 %, held now by Sanacorp Pharmahandel GmbH in
Andreae-Noris Zahn AG, Frankfurt/Main, before the business
combination will be realized; also, the above-mentioned contribution
of the investment in Sanacorp Pharmahandel GmbH would thwart the
rights of Altiro GmbH. SANACORP does not share this opinion, neither
as regards the existence of a respective obligation nor as regards
the alleged thwarting of rights due to the contribution and will
therefore oppose the application for an injunction.

The regional court Munich I has already fixed a hearing date for
November 15, 2007.
