("Atrium" or the "Company")
Result of EGM
Jersey, 19 December 2008. The directors of Atrium European Real
Estate (ATX: ATR), one of the leading real estate companies focused
on shopping centre investment, management and development in Central
and Eastern Europe, are pleased to announce that at the Company's
Extraordinary General Meeting of shareholders held earlier today the
proposed resolution was passed.
The resolution passed authorises the Company to acquire, from Atrium
European Real Estate Nominees Limited, ordinary shares of the Company
that are represented by certificates which Atrium European Real
Estate Nominees Limited may purchase from time to time. The maximum
number of ordinary shares which may be so purchased is 50,000,000,
and the maximum price which the Company is authorised to pay per
ordinary share is EUR10.
Subject to this maximum price, the Company shall acquire any ordinary
shares from Atrium European Real Estate Nominees Limited for the same
price which Atrium European Real Estate Nominees Limited acquired the
corresponding certificates. The authority contained in the
resolution will expire on the date of the next annual general meeting
of the Company but in any event no later than 18 months after the
passing of the resolution.
