German Securities Trading Act (WpHG) dated May 7, 2007 referring to the
notification dated May 3, 2007
1. Apax Guernsey (Holdco) Limited, St Peter Port , Guernsey, Channel Islands,
informed us pursuant to sec. 21 subs. 1a, 22 of the German Securities Trading
Act (WpHG) that on 26 April 2007, Apax Guernsey (Holdco) Limited's holding of
voting rights in Versatel AG, Berlin, Germany, amounted to 68.18 percent
(30,000,000 voting rights). Such 68.18 percent were attributed to Apax Guernsey
(Holdco) Limited according to Sec. 22 subsec. 1 sentence 1 no. 1 WpHG. The
voting rights were attributed to Apax Guernsey (Holdco) Limited through its
controlled entities:

- Apax Europe VI GP L.P. Inc.
- Apax Europe VI-A, L.P.

informed us pursuant to sec. 21 subs. 1, 22 of the German Securities Trading Act
(WpHG) that on 2 May 2007, Apax Guernsey (Holdco) Limited's holding of voting
rights in Versatel AG, Berlin, Germany, has fallen below the threshold of 50
percent and amounts to 34.60 percent (15,222,500 voting rights). Such 34.60
percent of voting rights were attributed to Apax Guernsey (Holdco) Limited
according to Sec. 22 subsec. 1 sentence 1 no. 1 WpHG. The voting rights were
