Pursuant to section 91 para 1 Austrian Stock Exchange Act in connection with
section 5 para 3 of the Transparency Ordinance (TransVO), the principal
shareholders of Warimpex Finanz- und Beteiligungs Aktiengesellschaft
("Warimpex") hereby give note of the fact that due to the registration of the
capital increase, which consisted of a combined offering structured in the form
of a rights offering and a global offering from 26 April 2010 until 10 May 2010,
with the Companies Register (Firmenbuch) on 12 May 2010, the number of no-par
value voting bearer shares issued by Warimpex has increased from 39,599,999
voting shares to 54,000,000 voting shares. Such increase led to a dilution of
the shareholding of the persons required to make the announcement and has
resulted in an undercut of the thresholds specified in section 91 of the
Austrian Stock Exchange Act.

The managing board has on 21 April 2010 as well as on 11 May 2010, with the
respective approval of the supervisory board, exercised the authorized capital
and has increased the share capital from previously EUR 39,599,999.00 by EUR
14,400,001.00 to EUR 54,000,000.00 by the issuance of 14,400,001 new no-par
value voting bearer shares against cash contribution.

The shareholding in Warimpex of the persons required to make the announcement
have consequently changed as follows:

Consequently, the relevant threshold of 15% pursuant to section 91 Austrian
Stock Exchange Act has been undercut by both Dkfm. Georg Folian and Dr. Franz
Jurkowitsch.
