28.06.2010 - KP Invest Beteiligungs GmbH announces that Pierer GmbH and Knünz
Gmbh each have transferred 1.002.000 UIAG shares to KP Invest Beteiligungs GmbH
through a transfer of assets and contribution in kind agreement dated 21 June
2010, bringing the participation in voting rights and in share capital to
approximately 50.1 %. The voting rights of KP Invest Beteiligungs GmbH in
Unternehmens Invest AG therefore exceed the thresholds of 5%, 10%, 15%, 20%,
25%, 30%, 35%, 40%, 45% and 50% (number of voting rights: approximately 50.1%;
2.004.00 shares).
The number of voting rights of Pierer GmbH in Unternehmens Invest AG that can be
exercised directly (number of voting rights: approximately 15.6468%; 625.873
shares) were below the thresholds of 50%, 45%, 40%, 35%, 30%, 25% und 20% on 21
June 2010. The number of voting rights of Pierer GmbH in Unternehmens Invest AG
that can be indirectly exercised through KP Invest Beteiligungs GmbH (number of
voting rights: approximately 50.1%; 2.004.000 shares) exceeded the thresholds of
5%, 10%, 15%, 20%, 25%, 30%, 35%, 40%, 45% und 50% on 21 June 2010. The voting
rights of Pierer GmbH in Unternehmens Invest AG that can be indirectly and
directly exercised (number of voting rights: approximately 65.7468%; 2.629.873
shares) continue to exceed the threshold of 50%.
The voting rights of DI Stefan Pierer in Unternehmens Invest AG that may be
exercised indirectly through the Pierer GmbH (number of voting rights:
approximately 15.6468%; 625.873 shares) or the Pierer GmbH and KP Invest
Beteiligungs GmbH (number of shares: approximately 50.1%; 2.004.000 shares)
continue to exceed the threshold of 50% (number of shares: approximately
65.7468%; 2.629.873 shares).
The voting rights of Knünz GmbH in Unternehmens Invest AG that may be directly
exercised (number of voting rights: approximately 11.8482%; 473.928 shares) were
below the thresholds of 50%, 45%, 40%, 35%, 30%, 25%, 20% and 15% on 21 June
2010. The voting rights of Knünz GmbH in Unternehmens Invest AG that may be
indirectly exercised through KP Invest Beteiligungs GmbH since 21 June 2010
(number of voting rights: approximately 50.1%; 2.004.000 shares) exceeded the
thresholds of 5%, 10%, 15%, 20%, 25%, 30%, 35%, 40%, 45% and 50% on 21 June
2010. The voting rights of Knünz GmbH in Unternehmens Invest AG that may be

61.9482%; 2.477.928 shares) continue to exceed the threshold of 50%.
The voting rights of Dr. Rudolf Knünz in Unternehmens Invest AG that may be
indirectly exercised through Knünz GmbH (number of voting rights: approximately
11.8482%; 473.928 shares) or Knünz GmbH and KP Invest Beteiligungs GmbH (number
of voting rights: approximately 50.1%; 2.004.000 shares), continue to exceed the
threshold of 50% (number of voting rights: approximately 61.9482%; 2.477.928
shares).
