conwert: Change in share of voting rights

Vienna, 22 July 2010. conwert Immobilien Invest SE announces in accordance with
§ 93 para. 2 of the Stock Exchange Act (BörseG) that Petrus Advisers Management
Ltd, Petrus Advisers Control Investment Ltd, Albona I LP and Albona Ltd
announced the acquisition of the following voting rights in conwert Immobilien
Invest SE on 20 July 2010 in accordance with §§ 91, 92a BörseG:

1. The put/call options granted on 29 April 2010 (see also the notification of
voting rights of conwert Immobilien Invest SE of 05 May 2010) were exercised on
30 June 2010.

2. Petrus Advisers Control Investment Ltd has now acquired - in several partial
closings of the options on 15 July and 16 July, which will be followed by
further partial closings - approx. 4.08% or 3,497,943 of the company´s voting
rights through the companies Albona I LP and Albona Ltd, which it controls. At
the same time, this block of shares represents the majority of the shares
syndicated by the shareholders of the company in accordance with the syndicate
agreement of 16 October 2007. This majority of syndicated shares was only
acquired by Petrus Advisers Control Investment Ltd on 16 July 2010. Albona Ltd
joined the syndicate agreement. In accordance with the syndicate agreement, the
parties to the agreement have the obligation to exercise their voting rights
from the syndicated shares in accordance with the resolutions adopted by a
simple majority at the syndicate assembly.

3. In accordance with § 23 para. 2 of the Takeover Act (ÜbG), another 4.47% or
3,812,131 voting rights of the company are therefore attributable to Petrus
Advisers Control Investment Ltd in addition to the 3,497,943 shares previously
acquired due to the syndication and due a transfer of voting rights from the
non-syndicated shares comprised in options.

4. Overall, the share of voting rights attributable to Petrus Advisers Control
Investment Ltd (via the controlled companies Albona I LP and Albona Ltd, which
is the direct owner of the shares acquired) now amounts to roughly 8.54% or
7,292,074 of the voting rights in the company. Petrus Advisers Control
Investment Ltd is under discretionary management of Petrus Advisers Management
Ltd on the basis of a management agreement. The threshold of 5% in accordance
with § 91 para. 1 BörseG was therefore surpassed by Petrus Advisers Control
Investment Ltd, Petrus Advisers Management Ltd, Albona I LP and Albona Ltd.
