accordance with sec. 22 para. 1 sent. 1 no. 6 of the WpHG.

(Holdings) Plc in BAUER AG fell below the threshold of 3% and amounted to 2.945%
(equivalent to 504,574 shares). 2.945% of the voting rights (equivalent to
504,574 shares) are attributable to Henderson Global Investors (Holdings) Plc in
accordance with sec. 22 para. 1 sent. 1 no. 6 in conjunction with sent. 2 of the
WpHG.

3. that on 29 July 2010 the voting interest of Henderson Group plc in BAUER AG
fell below the threshold of 3% and amounted to 2.945% (equivalent to 504,574
shares). 2.945% of the voting rights (equivalent to 504,574 shares) are
attributable to Henderson Group plc in accordance with sec. 22 para. 1 sent. 1
no. 6 in conjunction with sent. 2 of the WpHG.
