EANS-Adhoc: adesso acquires majority stake in e-business specialist ARITHNEA GmbH with over 100 employees and EUR 10 million in sales revenues

adesso AG is to acquire a 51 % stake in ARITHNEA GmbH, thus expanding
its portfolio in consultancy and implementation services for
e-commerce solutions and increasing its involvement in the
implementation of content management systems. In the last financial
year, ARITHNEA recorded sales revenues of EUR 10 million (previous
year: EUR 6 million) and earnings before taxes of EUR 1.4 million.
The company is debt-free and has a sound balance sheet structure and
liquidity situation.

adesso will acquire the shares from the company´s four shareholders,
who will work with adesso to drive ARITHNEA´s expansion in additional
sectors in Germany and abroad in the long term. The acquisition price
was set at a low seven-figure cash sum plus a variable component
which will be payable should the positive development seen so far in
the current financial year be maintained. The remaining 49 % stake is
subject to contractual agreements on matters such as purchase
options.

outstanding reputation for consultancy, implementation and
maintenance services around e-business applications on the strength
of its work with a number of major corporations. The company offers a
combination of agency services such as design and user experience and
the implementation of e-commerce platforms. As adesso does not yet
cover either of these areas on the whole with its own resources, the
acquisition represents an ideal complement to adesso’s existing
portfolio in the context of its strategy and equity story.
ARITHNEA’s clients include major names such as BOSCH, EADS,
Telefónica Germany and ProSiebenSat1. The company also acts as a
partner for the implementation of content management systems, meaning
the acquisition will boost adesso’s existing activities in this
field.
