On 29 May 2012, Pon Holding Germany GmbH informed the Management
Board of Derby Cycle AG (ISIN DE000A1H6HN1, WKN A1H6HN) that as of
this day it holds more than 95% of the share capital of Derby Cycle
AG and requests in accordance with §327a of the German Stock
Corporation Act (Aktiengesetz) that the company's shareholders
meeting shall resolve upon the shares of the minority shareholders
being transferred to Pon Holding Germany GmbH in return for payment
of an appropriate cash compensation.

Today Pon Holding Germany GmbH confirmed its request of 29 May 2012
whereby the company's shareholders meeting shall be requested to
resolve upon the shares of the minority shareholders being
transferred to Pon Holding Germany GmbH in return for payment of EUR
31.56 per share as cash compensation.

The calculation of the cash compensation is based on an updated
business plan of the company, whereby the expected EBIT margin for
the fiscal year 2011/12 will be presumably around 6% and therefore
presumably below the last forecast published by the company, which
was between 7% and 8%. This is due to the unexpected weak business in
August and September which may not be compensated by other effects,
which will be subject to further discussion with the auditor during
the preparation and audit of the consolidated financial statements.
Currently, the company is not in a position to provide for a more
precise estimate of the EBIT margin achieved in the fiscal year
2011/12.
