Balda purchases a plastics company in the US and strengthens its
medical business

Bad Oeynhausen, December 21, 2012 - Balda, a producer of high-quality
plastic products for the medical and electronics industries, has
agreed the purchase of a US plastics producer. Effective as of
December 31, 2012, 100 percent of the shares in C. Brewer Company,
Anaheim, California, will be acquired. The acquisition strengthens
Balda's medical business, in line with the buy-and- build strategy
laid out for this business segment.

The C. Brewer Company specializes in precision injection-molded
plastics and the associated molds, in particular for customers from
the medical and optical industries and, moreover, from automotive and
electronics industries. The company was founded in 1966 and operates
at three locations in California (Anaheim, Irvine and Ontario). C.
Brewer Co. employs around 500 people and expects revenues of around
USD 48 million (approx. EUR 37 million) for calendar year 2012, along
with clearly positive operating earnings (EBITDA). Around one- third
of its revenues come from medical customers, with roughly 50 percent
coming from optics.

The purchase price for the acquisition totals around EUR 33 million,
including the performance-related earn-out clause of EUR 3.8 million.
The purchase will fully be financed with the existing liquidity of
the Balda Group. The seller is the family of the founders. The
acquisition marks the entry of Balda into the
strategically-important US market, where the company will have access
to an effective base for production in the future.
