Subj.: Simplified Reduction of Share Capital by Reverse Stock Split

23 April 2013

On 23 April 2013, the management board and the supervisory board of
Deutsche Steinzeug Cremer & Breuer AG have decided to propose to the
company's annual shareholders' meeting, which takes place on 13 June 2012,
the reduction of the share capital by simplified procedure. It is intended
to reduce the company's share capital in the amount of currently EUR
18,410,412.00, divided into 18,410,412 no-par value bearer shares conveying
a proportional amount of the share capital of EUR 1.00 each, by EUR
9,205,206.00 to EUR 9,205,206.00. The reduction of the chare capital shall
be effected by merging every two old no-par value shares into one new
no-par value share. Following the reverse stock split, the new share
capital will be divided into 9,205,206 no-par value bearer shares conveying
a proportional amount of the share capital of EUR 1.00 each.
