Ad hoc announcement acc. to Section 15 of German Securities Trading Act
(WpHG)

No quorum reached for first creditors' meeting; second creditors' meeting
with lower quorum to take place on May 21, 2013

Munich, April 30, 2013 - The company has today evaluated the registrations
received by the deadline for the first creditors' meeting on May 2, 2013.
Overall, registrations from 28 % of the outstanding debentures have been
received. That is not sufficient to achieve the required presence of 50 %
of the outstanding debentures for there to be a quorum. This creditors'
meeting was to be asked to pass a resolution on the exchanging of the 7 %
debenture 2011/2016 for a right to acquire shares in the company.

In view of this situation, the company will invite creditors to a second
meeting, with an identical agenda on May 21, 2013, at which only 25 % of
the outstanding debentures now need be present for there to be a quorum. In
order to implement the restructuring measures as planned, the company
urgently recommends that its bond creditors participate in the vote. Bond
creditors may either attend the creditors' meeting in person or be
represented. In addition to extensive additional information, the necessary
registration and authorisation forms will be available on the company's
website at www.centrosolar-group.com/restrukturierung/gläubigerversammlung
from May 3, 2013.

Once the first creditors' meeting is determined not to have a quorum and
has been formally closed, there will be a voluntary fact-finding event for
bond creditors attending on May 2, 2013. The Management Board will explain
the restructuring measures planned and answer questions on them.
