Ad hoc Notificaiton
pursuant to Section 15 of the Securities Trading Act (WpHG)

26 June 2013: Confirmation and further specification of the transfer
request and of the intention of ATON Engineering AG to enter into a merger
agreement; determination of the cash compensation of EUR 16.23 per share

ATON Engineering AG with registered office in Hallbergmoos today confirmed,
by letter to Rücker Aktiengesellschaft with registered office in Wiesbaden
(ISIN DE0007041105), its transfer request issued on 3 May 2013 pursuant to
Section 327a para. 1 sentence 1 of the Stock Corporation Act (AktG),
Section 62 para. 1 and para. 5 of the Conversion Act (UmwG) requesting
that the shareholders' meeting of Rücker Aktiengesellschaft resolve on the
transfer of the shares of the other shareholders to ATON Engineering AG
against adequate cash compensation. The company furthermore confirmed its
intention to enter into a merger agreement effecting a merger of Rücker
Aktiengesellschaft with ATON Engineering AG that is accompanied by the
exclusion of the minority shareholders. ATON Engineering AG continues to
hold more than 90% of the share capital of Rücker Aktiengesellschaft.

ATON Engineering AG has informed us that the adequate cash compensation
pursuant to Section 327a para. 1 sentence 1 of the Stock Corporation Act
(AktG), Section 62 para. 1 and para. 5 of the Conversion Act (UmwG) to be
provided to the minority shareholders that are excluded was determined at
EUR 16.23 per share of Rücker Aktiengesellschaft.

The management board of Rücker Aktiengesellschaft intends to enter into the
merger agreement between ATON Engineering AG and Rücker Aktiengesellschaft
on 28 June 2013. The shareholders' meeting of Rücker Aktiengesellschaft
taking the transfer resolution is anticipated to take place on 23 August
2013.
