Hannover/Germany, 18/07/2013. Hoeft & Wessel AG has entered into an
agreement with a long-term oriented investor and the financing institutions
for a refinancing and financial restructuring of the Company, with the
co-operation of the key shareholders. According to the agreement, the
investor is to take an interest of more than 75 per cent in the Company
with a stock exchange listing via a capital increase, providing Hoeft &
Wessel AG with fresh capital of approx. EUR 8.5 million. The key
shareholders are waiving their subscription rights. The necessary capital
measures are to be adopted as part of a resolution at an Extraordinary
General Meeting scheduled for 18 July 2013.
