Roedental, July 25, 2007 - The Management Board of Zapf Creation AG
today, with the approval of the Supervisory Board, passed a basic
resolution regarding the pending capital increase. According to the
resolution, up to 3.2 million new shares are to be issued from
authorized capital at an issue price of EUR 4.50. Shareholders will
have a right to subscribe to the new shares. Subject to the issuance
of an unqualified auditor's opinion by the company's auditors, the
subscription period is scheduled to begin in mid-August.
The addition of new equity capital is part of the concept to secure
the long-term financing of the company that has been agreed with the
banks and company's major shareholders. Details of the capital
increase and further steps to implement the financing concept will be
determined by the company's boards separately.
