Graz (euro adhoc) - Graz, March 22, 2012. Today´s 105th Annual
General Meeting of Shareholders of ANDRITZ AG agreed to a dividend
payment of 2.20 Euros per share for the 2011 business year, which is
an increase of 29% compared to the dividend for the 2010 business
year (1.70 Euro per share). Ex-dividend date is March 26, 2012, the
date of dividend payment March 28, 2012.

The Annual General Meeting also agreed to split the shares in a ratio
of 1:2, whereby the number of shares will increase to 104,000,000 and
the proportionate amount of the capital stock will be 1.- Euro per
no-par value share in the future. The corresponding adjustment of the
share price at the Vienna Stock Exchange is planned to take place on
April 23, 2012.

Christian Nowotny, who has been a member of the ANDRITZ AG
Supervisory Board since 1999, was reappointed to the Supervisory
Board of ANDRITZ AG.

All items on the agenda were approved by the shareholders present at
the Meeting.
