Hannover, 7 October 2013. Within the scope of the subscription offering of
Höft & Wessel AG, the shareholders have exercised their right to subscribe
to a total of 1,714,437 new shares. A further 6,783,053 new shares were
subscribed by a subsidiary of Droege International Group AG, Düsseldorf.
The 8,497,490 new shares derived from the cash capital increase adopted by
resolution at the Company's Extraordinary General Meeting on 18 July 2013
were therefore fully placed at a subscription price of EUR 1.00 per share.
Droege has thus become the new majority shareholder of Höft & Wessel AG.
The Company will realise net issue proceeds of just under EUR 8.5 million
from the issuance of the new shares. This will enable the Company to make
investments in order to reinforce its technological expertise and to repay
financial liabilities. Moreover, the creditor banks will dispense with
part of their loan receivables from Höft & Wessel Group, which means that
the Company's indebtedness will be reduced to approx. EUR 8.5 million.
